Dissolution
When a business makes the decision to cease
operations it will terminate the legal existence of the company by dissolution.
In addition to voluntary dissolution of the business by its owners, dissolution
may be caused in by other circumstances including failure to file annual
reports, failure to pay certain taxes, or bankruptcy.
If your company makes the decision to
discontinue operations or is no longer in business, Quick Incorporators can
assist with filing the Articles of Dissolution with the state of formation or,
if applicable, the state of foreign qualification, to terminate the existence of
your corporation or limited liability company (LLC).
Other steps which may be involved in the
process of the dissolution of a business vary by state. A general outline of the
dissolution process can be found at “Dissolving Your Business".
Cost of Dissolution
Quick Incorporators’ fee is $125, plus state fees, for assistance in the
dissolution process.
