LLC Kit and Seal

After a limited liability company has been registered with the state of its organization, in order to properly distribute units, or percentages, of ownership of the company and to properly maintain its business records an "LLC Kit" is required.

An LLC Seal is a small press into which a document is placed to be embossed. The imprint made by the seal indicates the LLC's name, state of organization and date of formation. Seals were at one time required by all states, but are presently optional in some states. However, an impression made by a seal helps to convey the mark of authority upon LLC documents.

A Membership Certificate is a printed document used to indicate ownership interest in an LLC. The LLC Kit supplied contains custom-printed membership certificates that may be issued at the discretion of the LLC.

The Stock Transfer Ledger contains a record of the number of shares which have been issued by the corporation, as well as the dates of issuance, stock certificate number and the person or entity to whom the shares were issued.

Operating Agreement to be used as a guide or reference and helps your LLC by guarding your limited liability status, heading off financial and management misunderstandings, and making sure your business is governed by certain rules. Various provisions in an Operating Agreement may include percentages of ownership, distributive shares, distributions of profits and losses, voting rights, ownership transitions, and buy-sell agreement.
