Name Amendment
When the information in the Articles or
Certificate which was originally filed with the state to form a company is going
to be changed, Articles of Amendment must usually be filed with the state. When
the name of a corporation, Limited Liability Company (LLC), Limited Partnership
(LP) or Limited Liability Partnership (LLP) changes, an Amendment is required
to be filed in states where such company does business.
The Amendment certifies that these
important changes were completed as required by law with consent of the
appropriate individuals within the company. Legal requirements vary by state and
entity type. For example, name changes for a corporation may require consent of
the company's board of directors, officers or its shareholders, where such
change for a limited liability company may require consent of the LLC’s
members.
