Share Amendment
When the information in the Articles or
Certificate which was originally filed with the state to form a company is going
to be changed, Articles of Amendment must usually be filed with the state. When
the capital structure (number of authorized shares and/or par value of shares)
of a corporation is to be changed, an Amendment is required to be filed in
states where such company does business.
The Amendment certifies that this important
change was completed as required by law with consent of the appropriate
individuals within the company. Legal requirements vary by state and entity
type. For example, change in capital structure may require consent of the
company's board of directors, officers or its shareholders.
